Terms of Service

1. Acceptance of Terms

By creating an account or accessing the NextOrbit platform ("the Platform") operated by Kinetos Labs, you enter into a legally binding agreement with us. If you are accepting on behalf of an organisation, you confirm you have authority to bind that organisation to these terms.

2. Kinetokens

This section governs Kinetokens — the prepaid digital credits used to access AI features within NextOrbit. Please read it carefully before purchasing.

2.1 Nature of Kinetokens

• Kinetokens are a prepaid digital credit used solely to access AI-powered features within NextOrbit.
• Kinetokens are not money, currency, or a security. They have no cash value and cannot be exchanged or redeemed for cash or any other real-world asset.
• Purchasing Kinetokens does not create a deposit, investment, or financial instrument of any kind.

2.2 Purchasing Model

• Kinetokens are sold in one-time packages only — there is no subscription or recurring billing for Kinetokens.
• NextOrbit may change package prices and per-feature token costs at any time. Price changes are not retroactive — Kinetokens already purchased retain their face value.
• The number of Kinetokens required for each AI feature is displayed in the app before you commit to using it.

2.3 Consumption (Per-Usage)

• Each AI feature consumes a fixed number of Kinetokens, shown in-app before use.
• Tokens are deducted at the point of use, before the AI generation begins.
• Tokens spent on a completed AI generation are not refunded based on dissatisfaction with the output. Once generation has commenced, the service has been rendered.

2.4 Expiry

• Kinetokens expire 12 months from the date of purchase or grant (whichever is applicable).
• Tokens are consumed first-in, first-out (FIFO) — the earliest-expiring tokens are always used first.
• We will send a reminder email approximately 30 days before expiry.
• Expired tokens are permanently forfeited and non-refundable.

2.5 Refund Policy — All Sales Final

• All Kinetoken purchases are final and non-refundable.
• This applies to unused Kinetokens, partially used packages, and expired tokens.
• NextOrbit does not issue refunds, credits, or exchanges for Kinetoken purchases under any circumstances, except where required by applicable law.

2.6 Transfer & Account Binding

• Kinetokens are bound to the account that purchased or received them. They cannot be sold, gifted, or transferred between users, except via the organisation-to-member allocation mechanism described in section 2.8.
• Kinetokens are non-transferable in the event of account closure, sale, or transfer.

2.7 Bonus & Promotional Tokens

• Signup bonuses, referral rewards, and friend-invite credits are promotional Kinetokens granted at NextOrbit's discretion.
• Promotional tokens expire on the same 12-month basis as purchased tokens, calculated from the date of grant.
• NextOrbit reserves the right to revoke promotional tokens if fraud, abuse, or circumvention of the referral programme is detected.
• Promotional tokens hold no cash value and are not subject to the refund policy in section 2.5.

2.8 Organisation (B2B) Tokens

• An organisation may purchase Kinetokens into its own organisation wallet and distribute them to individual members.
• Once distributed to and accepted by a member, those Kinetokens become the property of that member's individual account. They are not loans and cannot be reclaimed by the organisation.
• Distributed tokens carry their own 12-month expiry from the date of distribution — independent of the original organisation purchase date.
• Organisation membership is separate from token ownership. If a member leaves the organisation, or any membership link lapses, Kinetokens already in that member's account remain theirs and are not reclaimed.
• The organisation's own wallet tokens remain the property of the organisation and are subject to the same expiry and no-refund terms.

2.9 Account Closure & Termination

• Upon voluntary account closure or deletion, all unused Kinetokens — promotional and purchased alike — are forfeited without compensation and are not redeemable for cash, except where a refund is required by applicable consumer law.
• If your account is terminated by NextOrbit for breach of these terms, all remaining Kinetokens are forfeited and non-refundable.

2.10 Nature & Modification of Kinetokens

• Kinetokens are a virtual platform metric with no cash value and cannot be redeemed for or exchanged into fiat currency.
• Kinetokens are non-transferable between accounts, except via the organisation-to-member allocation mechanism described in section 2.8.
• KinetosLabs reserves the right to change the token cost of any feature, introduce new token-gated features, or adjust token allocations at any time.

2.11 Promotional vs. Purchased Kinetokens

• Promotional or granted Kinetokens — including the 1,000-token sign-up bonus — may be modified, expired, or revoked by KinetosLabs at any time without compensation.
• Purchased Kinetokens (acquired via Stripe or another payment method) will not be unilaterally revoked by KinetosLabs without reasonable notice or a refund of the equivalent unused value — except where your account is terminated for a violation of these Terms, or where you voluntarily close or delete your account (in which case any unused Kinetokens are forfeited under section 2.9).

3. Acceptable Use

You may not use NextOrbit to:

• Reverse engineer, scrape, or extract proprietary data or system architecture from the Platform.
• Generate content that is unlawful, discriminatory, defamatory, or harmful to any person or group.
• Circumvent rate limits, authentication, or access controls through automated means.
• Misuse the referral or invite programme through fraudulent, automated, or self-referral activity.

4. AI Output Disclaimer

AI language models may produce inaccurate, incomplete, or misleading content. NextOrbit expressly disclaims all liability for AI-generated outputs. You are solely responsible for reviewing, validating, and deciding whether to use any resume, cover letter, or other content generated by the Platform before submitting it to an employer or any third party.

In no event shall NextOrbit or Kinetos Labs be liable for indirect, consequential, or incidental damages arising from your use of the Platform, including lost employment opportunities, beyond the amount you paid in the preceding 12 months.

NextOrbit uses generative AI to produce resumes, cover letters, and other career materials. AI-generated content may be inaccurate, incomplete, or inappropriate. You are solely responsible for reviewing, verifying, and editing all AI-generated content before submitting it to any employer or third party. KinetosLabs makes no warranty as to the accuracy or fitness of AI outputs.

5. Platform Modifications

KinetosLabs reserves the right to add, modify, deprecate, or remove any features, limits, or functionality of the NextOrbit platform at any time, at our sole discretion, with or without prior notice.

6. Third-Party Sites & Chrome Extension

You are solely responsible for ensuring that your use of the NextOrbit Job Capture extension complies with the Terms of Service of third-party job boards (including but not limited to LinkedIn, Seek, and Indeed). KinetosLabs is not liable for any account suspensions, restrictions, or penalties on third-party platforms resulting from your use of the extension.

7. Governing Law

These terms are governed by the laws of New South Wales, Australia. Any disputes shall be subject to the exclusive jurisdiction of the courts of NSW.

8. Changes to Terms

NextOrbit may update these terms at any time. Material changes will be notified via email or in-app notice. Continued use of the Platform after notice constitutes acceptance of the updated terms.
